Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the TrexAPI website, dashboard, APIs, documentation, legal pages, and related products and services operated by ClawDiary (“TrexAPI,” “ClawDiary,” “we,” “our,” or “us”) (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” includes that entity.
If you do not agree to these Terms, do not use the Services.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
1. Eligibility
You must be legally capable of entering into a binding agreement to use the Services. You may use the Services only in compliance with these Terms and all applicable laws and regulations.
2. The Services
TrexAPI provides a platform related to TokenZip payload workflows, TrexID-based memory references, semantic optimization, API routing, dashboard-based account management, and related infrastructure features.
Features, plans, request limits, dashboard controls, APIs, compatibility layers, routing behavior, and commercial terms may evolve over time.
3. Accounts
To use certain parts of the Services, you may need to create an account.
You agree to:
- provide accurate, current, and complete registration information;
- keep your account information updated;
- maintain the confidentiality of your credentials;
- accept responsibility for activities occurring under your account;
- promptly notify us of unauthorized access, misuse, or suspected compromise.
You may not share account access in a way that circumvents seat, access, subscription, or security controls.
4. API Keys and Credentials
You may create or use TrexAPI keys, and you may choose to bind third-party provider credentials within the dashboard or related control surfaces.
You are solely responsible for:
- safeguarding API keys and secrets;
- configuring your applications securely;
- managing who can access your credentials and payloads;
- all activity conducted using your account, keys, or bound provider credentials unless caused by our breach of these Terms or applicable law.
We may revoke, rotate, suspend, or invalidate keys where reasonably necessary for security, abuse prevention, non-payment, or policy enforcement.
If you bind a third-party provider credential, Trex provides the routing, optimization, and managed-proxy layer only; the upstream provider remains responsible for its own service availability, billing, policy enforcement, outputs, and account actions.
5. Your Content
You retain your rights in content you submit to the Services (“Your Content”), subject to the rights you grant below.
You grant us a non-exclusive, worldwide, limited license to host, store, reproduce, transmit, process, adapt, and otherwise use Your Content only as necessary to:
- provide the Services;
- maintain and secure the Services;
- perform routing, storage, retrieval, expansion, reconciliation, logging, and support functions;
- investigate abuse, fraud, or security incidents;
- comply with law.
Representations and warranties
You represent and warrant that:
- you have all rights, permissions, and authority necessary to submit Your Content;
- Your Content and use of the Services do not violate any law, contract, privacy right, intellectual property right, or other right of any person or entity.
6. Acceptable Use
You may not use the Services to:
- violate any applicable law or regulation;
- infringe, misappropriate, or violate the rights of others;
- upload, transmit, store, or distribute malware, malicious code, or harmful payloads;
- probe, scan, reverse engineer, or exploit the Services except as permitted by law and only to the extent such restrictions are unenforceable;
- bypass, disable, or interfere with authentication, rate limits, access controls, or security protections;
- replay signed requests, forge metadata, or impersonate another person, account, or system;
- overload, disrupt, or damage shared infrastructure;
- use the Services to facilitate spam, fraud, credential theft, data exfiltration, unlawful surveillance, or unauthorized access;
- resell, sublicense, or provide third-party commercial access to the Services without our written authorization or an applicable enterprise agreement;
- use the Services in a way that materially risks harm to the platform, other users, or third parties.
We may investigate violations and take appropriate action, including suspension, termination, content removal where appropriate, and cooperation with law enforcement.
7. Third-Party Services
The Services may interoperate with or depend on third-party services, including model providers, payment processors, hosting providers, identity providers, and analytics providers.
We are not responsible for third-party services, and your use of those services may be subject to separate terms and privacy policies.
If you bind or use third-party provider credentials with the Services, you are responsible for complying with that provider’s applicable terms and usage policies.
Even when requests are routed through Trex, your separate relationship with the upstream provider remains in place, including pricing, usage restrictions, account standing, model behavior, service availability, and any outages or suspensions imposed by that provider.
8. Subscriptions, Billing, and Plans
A. Free and paid plans
We may offer free tiers, monthly subscriptions, annual subscriptions, lifetime offers, enterprise agreements, private deployment offerings, or other commercial arrangements.
B. Billing
Paid subscriptions are billed in advance on a recurring basis unless otherwise stated. You authorize our billing provider to charge your selected payment method for recurring fees, taxes, and other applicable charges.
C. Auto-renewal
Unless otherwise stated, paid subscriptions renew automatically at the end of each billing cycle until canceled.
D. Cancellation
You may cancel a self-serve subscription at any time through the billing workflow or account controls we make available. Unless otherwise stated, cancellation takes effect at the end of the current paid billing period. Canceling a Founders plan means you lose the associated legacy promotional rate, and TrexAPI is generally not obligated to restore it later.
E. Plan changes
We may change plan pricing, features, limits, or structure prospectively. If required by law, we will provide notice before material pricing changes take effect for a future billing cycle.
F. Taxes
Fees do not include taxes unless explicitly stated. You are responsible for applicable taxes, duties, levies, or similar governmental assessments, except taxes based on our net income.
9. Token Savings Promise
TrexAPI may offer the token savings promise only on plans that expressly state it. Unless we expressly state otherwise, the current self-serve plan that includes this promise is the standard Pro Edge monthly subscription priced at USD $40 per month.
If the measured token-cost savings attributable to TrexAPI on your eligible routed traffic for a given billing month do not exceed that monthly subscription fee, the standard commercial remedy is to renew or extend the next month of the same eligible self-serve subscription at no additional subscription charge.
This commitment is subject to the following:
- it applies only to plans that expressly include the token savings promise;
- it applies only to eligible traffic routed through TrexAPI using supported provider integrations and your own eligible provider credentials where required;
- calculation methods may rely on provider usage fields, official provider pricing references, platform reconciliation data, and our reasonable anti-abuse controls;
- we may exclude traffic affected by fraud, abuse, unsupported routing patterns, incomplete provider telemetry, credits, refunds, promotional adjustments, sandbox usage, or measurement anomalies;
- the promise is a service credit / renewal benefit, not a cash refund, unless we expressly state otherwise;
- enterprise, private deployment, or custom-contracted arrangements are governed by their own agreements.
We reserve the right to document, clarify, modify, suspend, or discontinue this promise prospectively, but not retroactively for already-earned benefits unless required for fraud prevention, abuse prevention, or legal compliance.
10. Lifetime Offers and Promotional Plans
If we offer a lifetime or promotional plan, that plan applies only to the scope explicitly described at the time of purchase.
For avoidance of doubt, a lifetime purchase covers only the current self-serve tier identified at checkout.
Unless expressly stated otherwise:
- “lifetime” means access for the lifetime of the specific current self-serve tier purchased, not for all future products, features, enterprise capabilities, private deployment rights, SLA commitments, or custom services;
- reasonable-use limits, abuse controls, and platform-wide protections still apply;
- lifetime plans do not include future enterprise features, private deployment, enterprise savings-share arrangements, or SLA unless explicitly included at purchase;
- promotional pricing such as “for life while active” requires continuous compliance and uninterrupted eligible subscription status, and may be forfeited if you cancel or otherwise lose eligible status.
A lifetime plan does not automatically expand with future platform roadmap changes and does not convert into enterprise, private deployment, or SLA rights merely because the broader product evolves over time.
We may suspend or terminate access to promotional or lifetime plans for fraud, abuse, material breach, chargebacks, or unlawful use.
11. Service Changes, Suspension, and Termination
We may modify, suspend, or discontinue any part of the Services at any time, including features, APIs, request limits, routes, dashboard controls, availability of beta features, or plan structures.
We may suspend, restrict, or terminate your access if:
- you violate these Terms;
- payment is overdue;
- we suspect fraud, abuse, or unlawful activity;
- your use poses security, legal, or operational risk;
- required by law or third-party provider restrictions.
Where reasonably practicable, we will try to provide notice, but we may act immediately when necessary.
Upon termination, your right to use the Services ends immediately, except that provisions which by their nature should survive will survive.
12. Availability and Beta Features
The Services are provided on an “as is” and “as available” basis. We do not guarantee that the Services will be uninterrupted, error-free, or available at all times.
Some features may be labeled alpha, beta, preview, experimental, or similar. Those features may be incomplete, unstable, or changed or removed at any time.
Unless a separate written SLA applies, we do not commit to any uptime, support response time, recovery target, or service level.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Services will meet your requirements.
We do not warrant that:
- outputs, savings estimates, routing results, or optimization outcomes will be accurate, complete, or suitable for your intended use;
- content stored or transmitted through the Services will never be lost, corrupted, delayed, or accessed improperly;
- third-party providers or dependencies will remain available or compatible.
14. Limitation of Liability
To the maximum extent permitted by law, TrexAPI, ClawDiary, and our affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or opportunity, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our aggregate liability arising out of or related to the Services or these Terms will not exceed the greater of:
- the amounts you paid us for the Services in the 12 months before the event giving rise to liability; or
- USD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless TrexAPI, ClawDiary, and our affiliates, officers, employees, contractors, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:
- Your Content;
- your use or misuse of the Services;
- your violation of these Terms;
- your violation of applicable law or the rights of a third party.
16. Export, Sanctions, and Compliance
You may not use the Services in violation of export controls, sanctions laws, or other applicable trade restrictions. You represent that you are not located in, ordinarily resident in, or otherwise prohibited from receiving the Services under applicable law.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-law rules.
Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, U.S.A., and you consent to personal jurisdiction and venue in those courts.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and may provide additional notice where appropriate. By continuing to use the Services after updated Terms become effective, you agree to the updated Terms.
